You agree to use our website and services lawfully, securely, and without interfering with other users or systems.

Agreement to these terms and eligibility

These Terms of Service (“Terms”) form an agreement between you and Catalyst Software (PVT) Ltd (“Catalyst”, “we”, “us”, or “our”). By accessing or using this website, submitting an enquiry, or otherwise using a service that links to these Terms, you agree to them. If you do not agree, do not use the relevant website or service.

You must be at least 18 years old and legally capable of entering into an agreement. If you act for an organisation, you confirm that you have authority to bind it. “You” then refers to both you and that organisation.

Website information and our services

Our website provides general information about Catalyst, our capabilities, products, portfolio, and contact channels. Website content is informational and does not, by itself, constitute a binding offer, professional advice, service commitment, warranty, or guaranteed delivery timeline.

We may update, suspend, or discontinue website features and pre-release or demo services at any time. Availability, scope, specifications, and pricing are confirmed only in an applicable written agreement.

Acceptable use

You agree not to use our website or services to:

  • Break any applicable law or third-party right
  • Upload malware or harmful code
  • Probe, bypass, or compromise security controls
  • Interfere with systems, users, or service availability
  • Scrape or automate access without permission
  • Misrepresent identity, authority, or affiliation
  • Reverse engineer except where law expressly permits
  • Send spam, fraud, abuse, or unlawful content

You are responsible for the accuracy, legality, and permissions associated with information and materials you provide to us.

Client projects and service engagements

A project begins only when the parties accept a written proposal, statement of work, order form, master services agreement, or similar document (“Service Agreement”). That document may define deliverables, milestones, acceptance criteria, dependencies, support, change control, and other project-specific terms.

If these Terms conflict with a signed Service Agreement, the Service Agreement controls for that engagement. You agree to provide timely access, decisions, content, credentials, feedback, and other dependencies reasonably required for delivery. Delays or scope changes may affect timelines and fees.

Fees, invoices, and taxes

Fees, currency, deposits, milestones, payment dates, reimbursable expenses, and taxes are set out in the relevant Service Agreement or invoice.

Unless the applicable agreement states otherwise, invoices must be paid by their stated due date without set-off. Overdue undisputed amounts may result in paused work or restricted access after reasonable notice. You are responsible for applicable taxes, duties, and bank or payment charges other than taxes imposed on Catalyst’s net income.

Intellectual property

Catalyst and its licensors retain all rights in this website, branding, content, software, documentation, methods, templates, tools, know-how, and technology created independently of a client engagement (“Background Materials”). These Terms grant only a limited, revocable, non-exclusive right to use the website for its intended purpose.

Ownership and licence rights for project deliverables are defined by the relevant Service Agreement and may depend on full payment. Unless agreed otherwise, Catalyst retains its Background Materials and may reuse general skills, experience, ideas, and non-confidential know-how that do not identify a client or disclose its confidential information.

You retain ownership of materials you provide and grant Catalyst the rights reasonably necessary to use them for the engagement. You confirm that you have permission to provide those materials.

Third-party services and open-source software

Our website and deliverables may interact with third-party platforms, APIs, hosting services, payment providers, libraries, or open-source software. Their separate terms, licences, availability, and privacy practices apply. Catalyst does not control third-party services and is not responsible for changes, interruptions, or actions outside our reasonable control.

Confidentiality and privacy

Where confidential information is exchanged, each party must use reasonable care to protect it and use it only for the relevant business purpose. Information is not confidential if it is lawfully public, independently developed, already known without restriction, or lawfully obtained from another source. Required legal disclosure is permitted with notice where legally allowed.

Our collection and use of personal information is described in our Privacy Policy.

Disclaimers

To the fullest extent permitted by law, the public website and any free, preview, beta, or demo feature are provided “as is” and “as available”.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or suitable for every purpose, or that all content will always be current and complete. Specific warranties, service levels, and remedies for paid services apply only when stated in a Service Agreement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability

To the fullest extent permitted by law, Catalyst will not be liable for indirect, incidental, special, punitive, or consequential loss, or loss of profits, revenue, goodwill, opportunities, business interruption, or data arising from use of the public website or free features.

Liability relating to a paid engagement is governed by its Service Agreement. Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud or wilful misconduct. You are responsible for maintaining appropriate backups, access controls, and security practices for systems and data under your control.

Suspension and termination

We may restrict or suspend access when reasonably necessary to protect security, comply with law, prevent harm, address non-payment, or respond to a material breach. Where practical, we will provide notice and an opportunity to resolve the issue.

Either party may end a client engagement as permitted by its Service Agreement. Terms concerning accrued payments, confidentiality, intellectual property, disclaimers, liability, disputes, and provisions that by nature should survive will continue after termination.

Governing law and disputes

These Terms are governed by the laws of Sri Lanka, without regard to conflict of law principles. Before starting formal proceedings, each party agrees to make a good-faith effort to resolve a dispute through written notice and discussion.

Unless a Service Agreement provides another dispute process, the courts of competent jurisdiction in Sri Lanka will have jurisdiction. Nothing prevents either party from seeking urgent interim relief to protect confidential information, intellectual property, systems, or data.

Electronic communications and electronically accepted documents may be used for notices and transactions where permitted by applicable law.

Changes and general provisions

We may update these Terms to reflect changes to our website, services, or legal obligations. The revised Terms will be posted here with a new effective date. Material changes will receive additional notice where appropriate. Continued use after the effective date means you accept the revised Terms.

  • Entire agreement: these Terms, our Privacy Policy, and any applicable Service Agreement form the agreement for their subject matter.
  • Severability: if a provision is unenforceable, it will be adjusted or removed only to the minimum extent necessary.
  • No waiver: a failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment: you may not transfer these Terms without our written consent; we may transfer them as part of a restructuring or business transfer.
